Terms & conditions of trade

"Supplier" means Vape Marketplace Ltd, a company registered in England and Wales under number 09847732, whose registered office is Amber Court, Business Park, Uptivity, William Armstrong Dr, Newcastle upon Tyne NE4 7YA.

"Customer" means the business named on the approved trade account. "Goods" means the products supplied under these terms. "Case" means the sealed multi-unit pack in which Goods are supplied and priced.

The Supplier sells on a wholesale basis only, to businesses purchasing for resale. Accounts are opened at the Supplier's discretion following verification of the Customer's company registration and, where applicable, its premises licence.

The Customer confirms that it is not purchasing as a consumer, that all persons handling the Goods are aged 18 or over, and that it will comply with all applicable age-restricted sales law when reselling.

An order placed through the website is an offer to purchase and is accepted only when the Supplier dispatches the Goods or confirms acceptance in writing. The Supplier may decline any order.

The minimum order value is £250 excluding VAT. Minimum order quantity is one full case per line; the Supplier does not break cases.

All prices shown are per case and exclude VAT unless expressly stated. VAT is added at the prevailing rate at checkout. Recommended retail prices and margin figures are indicative only and place the Customer under no obligation.

Volume tier prices are applied automatically where the qualifying case quantity is reached on a single order. Tiers do not accumulate across separate orders. Prices may change without notice but the price confirmed at the point of acceptance is the price charged.

Unless a credit facility has been granted in writing, payment is due in full before dispatch. Where credit is granted, invoices are payable within 30 days of invoice date and the Supplier may set, reduce or withdraw a credit limit at any time.

The Supplier may charge interest on overdue sums at 4% above the Bank of England base rate, accruing daily, and may suspend supply while any sum remains outstanding.

Orders confirmed before 15:00 on a working day are picked the same day and held for collection at the Supplier's Newcastle trade counter, open Monday to Friday 09:00–18:00. Collection times are estimates and are not guaranteed. Uncollected orders are held for 14 days.

Risk in the Goods passes to the Customer on collection. Title does not pass until the Supplier has received payment in full.

Shortages or visible damage must be checked at the trade counter on collection and reported to the Supplier within 48 hours. Claims made later may be refused.

Unopened, undamaged cases in original condition may be returned within 14 days of collection for full credit. Faulty units are replaced on receipt of the batch and lot code. Special-order and clearance lines are non-returnable.

Nicotine products may not be resold to any person under 18. The Customer is responsible for operating an adequate age verification process and for compliance with the Tobacco and Related Products Regulations 2016 and all successor legislation.

The Customer must not resell any line marked export-only within the United Kingdom or the European Union. Breach of this clause entitles the Supplier to close the account immediately.

The Supplier's total liability arising under or in connection with any order is limited to the price paid for the Goods concerned. The Supplier is not liable for loss of profit, loss of business or any indirect or consequential loss.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be limited. These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.
